1. Introduction and Acceptance
These Terms & Conditions (the "Terms") govern access to and use of the websites, interfaces, technology, payment infrastructure, operational tools, and related services made available by Digital Tech Centre Ltd (the "Company", "we", "us", or "our").
By accessing the website, requesting commercial information, integrating with our technology, or using any service made available by the Company, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of a company or other legal entity, you confirm that you have authority to bind that entity to these Terms.
These Terms apply together with any applicable commercial agreement, order form, service schedule, onboarding documentation, privacy policy, AML/CTF policy, acceptable use requirements, API documentation, and other written terms agreed between you and the Company.

3. Business Use Only
The services are intended for approved business customers only. They are not intended for consumer use, personal remittance by individuals, or any activity that has not been reviewed and approved by the Company.
You represent that you use the services for lawful business purposes, that all information provided to the Company is accurate and complete, and that your use of the services complies with all applicable laws, regulations, licensing requirements, payment scheme rules, and contractual obligations.
4. Description of Services
The Company develops and provides technology and operational infrastructure for local payment access, payment routing, payment creation, payment status visibility, settlement support, reconciliation, and related payment operations across supported markets.
The scope of services available to you depends on commercial approval, onboarding status, supported countries, supported currencies, available payment methods, partner availability, compliance review, technical integration status, and any specific agreement entered into with the Company.
The Company may provide access to APIs, dashboards, webhooks, payment method information, market availability information, partner routing, reporting tools, technical documentation, and operational support. Unless expressly agreed in writing, no specific country, currency, payment method, settlement timing, approval rate, provider, or transaction outcome is guaranteed.
5. Eligibility, Onboarding, and Approval
Access to the services is subject to onboarding, business review, compliance checks, risk assessment, and commercial approval. The Company may request information about your legal entity, ownership structure, directors, beneficial owners, business model, licensing status, website, terms, privacy policy, refund policy, transaction flows, source of funds, expected volumes, target countries, and any other information reasonably required for review.
The Company may approve, reject, suspend, restrict, or request additional information for any application or relationship where required by law, partner requirements, internal risk controls, or commercial judgement.
You must promptly notify the Company of any material change to your business, ownership, control, licensing, regulated status, website, product offering, countries of operation, payment flows, risk profile, or other information supplied during onboarding.
6. Customer Responsibilities
You are responsible for ensuring that your business, products, services, website, customer communications, marketing, payments, refunds, chargebacks, data handling, and operational practices comply with applicable law and with these Terms.
You must maintain accurate records, provide truthful information, cooperate with due diligence requests, preserve transaction evidence, respond to information requests within reasonable timeframes, and ensure that your employees, contractors, agents, and systems use the services only as authorised.
You are responsible for the actions of users who access the services through your account, API credentials, dashboard access, systems, or instructions.
7. Compliance, AML/CTF, and Sanctions
You must not use the services for money laundering, terrorism financing, proliferation financing, sanctions evasion, fraud, illegal gambling, unlicensed financial services, unlawful sale of goods or services, deceptive practices, or any activity that the Company considers prohibited or high-risk.
You must comply with applicable AML/CTF requirements, sanctions laws, anti-bribery and anti-corruption laws, data protection laws, consumer protection rules, tax obligations, and payment scheme requirements.
The Company may conduct screening, monitoring, enhanced due diligence, transaction review, sanctions checks, adverse media checks, and other compliance controls. The Company may delay, reject, freeze, restrict, or report transactions or relationships where required by law, regulatory expectation, partner requirement, or risk assessment.
8. Prohibited Activities
You must not use the services in connection with prohibited or unsupported business categories, including any category identified in the Company's AML/CTF Policy or any additional category communicated during onboarding.
You must not submit false information, conceal beneficial ownership, split transactions to avoid thresholds, process transactions for third parties without approval, launder funds, manipulate descriptors, misrepresent products or services, attempt unauthorised access, interfere with systems, reverse engineer technology, or use the services in a manner that damages the Company, its partners, or other customers.
9. Local Payment Methods and Third-Party Providers
Payment methods, providers, banks, wallets, cash rails, payout options, settlement routes, currencies, limits, fees, processing times, reporting formats, and availability may vary by country, provider, transaction type, customer profile, compliance status, and operational conditions.
Some services may depend on banks, payment processors, acquiring partners, local payment providers, verification providers, technology vendors, telecom providers, card schemes, or other third parties. The Company is not responsible for delays, outages, refusals, reversals, holds, settlement failures, data issues, or other events caused by third-party providers, payment schemes, regulators, banks, or local infrastructure, except to the extent expressly agreed in writing.
10. Transactions, Settlement, Refunds, and Chargebacks
You are responsible for the accuracy of payment instructions, transaction data, customer details, amounts, currencies, references, payment method selection, payout details, refund requests, and other information submitted through the services.
Transactions may be delayed, rejected, reversed, cancelled, held, investigated, or subject to additional checks. Settlement times are estimates unless expressly agreed otherwise. The Company may withhold, offset, or adjust settlement amounts for refunds, chargebacks, reversals, fees, fines, penalties, suspected fraud, compliance review, partner requirements, negative balances, or other amounts owed.
You remain responsible for customer disputes, refunds, chargebacks, complaints, delivery of goods or services, consumer disclosures, cancellation rights, and compliance with applicable consumer and payment rules.
11. Fees, Taxes, and Commercial Terms
Fees, pricing, reserves, settlement terms, payment method costs, minimums, limits, and other commercial terms are set out in the applicable agreement, order form, commercial correspondence, or service schedule.
Unless expressly stated otherwise, all fees are exclusive of taxes, duties, levies, withholding, and other governmental charges. You are responsible for determining and paying all taxes applicable to your use of the services, your transactions, and your business.
12. API, Credentials, and Security
Where the Company provides API access, dashboard access, credentials, keys, tokens, webhooks, or technical documentation, you must keep them confidential and secure. You must not disclose credentials to unauthorised persons, embed secret credentials in public code, or use credentials outside the approved environment.
You must maintain appropriate technical and organisational security controls, including access management, device security, secure development practices, monitoring, incident response, and prompt notification to the Company of suspected compromise, unauthorised access, data breach, credential exposure, or security incident.
The Company may rotate credentials, suspend access, require additional security controls, or restrict technical functionality where necessary to protect systems, partners, customers, or transactions.
13. Data Protection and Confidentiality
Each party must handle personal data in accordance with applicable data protection law and any privacy, data processing, or confidentiality terms agreed between the parties.
You must ensure that you have a lawful basis to provide personal data to the Company and its partners, and that all required notices, consents, and disclosures have been provided to data subjects.
Non-public technical, commercial, operational, pricing, compliance, customer, partner, and transaction information must be treated as confidential and used only for the purposes for which it was disclosed.
14. Intellectual Property
The Company and its licensors retain all rights, title, and interest in the services, software, APIs, documentation, designs, trademarks, logos, technology, know-how, and related intellectual property. No rights are transferred to you except the limited right to access and use the services as approved by the Company.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the services or any Company technology except as expressly permitted in writing.
15. Availability, Changes, and Maintenance
The Company may update, modify, suspend, discontinue, or replace any feature, route, payment method, provider, country, interface, documentation, or service component where required for operational, legal, compliance, security, partner, or commercial reasons.
The Company may perform maintenance, apply security updates, change routing logic, adjust supported markets, modify technical requirements, or introduce new controls. Where commercially reasonable, the Company will provide notice of material changes that affect active customers.
16. Suspension and Termination
The Company may suspend or terminate access to the services immediately if you breach these Terms, fail compliance review, provide inaccurate information, create legal or operational risk, use the services for prohibited activity, fail to pay amounts due, suffer insolvency, become subject to sanctions, or if a partner, regulator, law enforcement body, or payment scheme requires restriction.
On termination, you must stop using the services, return or destroy confidential information where required, pay all outstanding amounts, and cooperate with any wind-down, reconciliation, refund, dispute, compliance, or record retention process.
17. Disclaimers
The services are provided on a business-to-business basis and, unless expressly agreed in writing, on an "as is" and "as available" basis. The Company does not warrant uninterrupted availability, error-free operation, universal payment method acceptance, specific approval rates, specific settlement timing, uninterrupted partner availability, or suitability for any unapproved business purpose.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law.
18. Liability and Indemnity
To the maximum extent permitted by applicable law and subject to any written agreement between the parties, the Company is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or interruption of business.
You agree to indemnify and hold the Company, its officers, directors, employees, contractors, affiliates, and partners harmless from claims, losses, liabilities, penalties, fines, damages, costs, and expenses arising from your breach of these Terms, unlawful use of the services, customer disputes, inaccurate information, prohibited activity, regulatory breach, or misuse of the services.
19. Force Majeure
The Company is not responsible for failure or delay caused by circumstances beyond its reasonable control, including acts of government, regulatory action, payment scheme action, bank or provider failure, sanctions restrictions, war, civil unrest, natural disaster, epidemic, labour dispute, power failure, telecommunications failure, cyber incident, internet outage, or other events outside the Company's reasonable control.
20. Communications and Notices
The Company may communicate with you by email, dashboard notification, website notice, API notice, messaging channel, or other reasonable means. You must keep contact details current and monitor operational notices.
Formal notices and legal enquiries should be sent to b2b@cmpss.xyz unless another notice address is agreed in writing.
21. Governing Law and Dispute Resolution
Unless a separate written agreement states otherwise, these Terms are governed by the laws of England and Wales. The parties will first attempt to resolve disputes through good-faith commercial discussions. If a dispute cannot be resolved informally, it shall be submitted to the competent courts of England and Wales, unless mandatory law requires a different forum.
22. Amendments
The Company may update these Terms from time to time. Material changes may be notified by publication on the website, email, dashboard notice, or other reasonable means. Continued use of the services after the effective date of updated Terms constitutes acceptance of those changes.
